Terms and Conditions
These Terms and Conditions are incorporated by reference into all Client Project Contracts with Aishani Dhawan, working on behalf of Roundabout.Ltd ("Roundabout Soft Solutions"). The following provisions further define the scope of services and limitations of liability:
Payment Information
All payments for services rendered will be made directly to Aishani Dhawan.
Aishani Dhawan and Roundabout Ltd. is not responsible for any taxes or withholdings associated with these payments.
Project Scoping and Revisions
Number of Revisions
For all projects, regardless of service type, clients are entitled to two (2) rounds of revisions/changes/iterations. Additional revisions/changes/iterations will be subject to a fee of 20% of the total project cost.
Scope Creep
Any new changes or requests introduced by the client beyond the originally agreed-upon project scope will be considered additional work and may be subject to additional fees which will be quoted and decided by Aishani Dhawan & roundabout.
E-commerce Projects
For e-commerce projects, particularly those utilizing Shopify:
- Roundabout's services are limited to website design, development & Integration with third-party shipping only.
- Anything beyond integration as well as ongoing e-commerce management, are the client's responsibility.
Client Training and Support
Roundabout is not responsible for providing ongoing training or mentorship on how to use the software or platform upon which the project is built.
Roundabout can provide general information and resources to assist clients in learning how to manage their project.
Late Deliverables and Fees
In the event that a client causes delays in the project timeline due to unnecessary changes or requests, Roundabout reserves the right to implement a late payment fee. The specific fee amount will be determined based on the severity of the delay and its impact on the project.
- Refunds Policy:
- All project payments made to Roundabout Ltd are non-refundable under any circumstances, including but not limited to termination of the project by the client, cessation of the project by Roundabout Ltd, or any other scenario.
- The client acknowledges that project payments are made in consideration of services rendered and resources allocated by Roundabout Ltd, and as such, no refunds shall be provided.
- Late Fee:
- In the event that the client causes delays in the commencement or progression of the project, the client shall be liable to pay a late fee as determined by Roundabout Ltd.
- The late fee shall be calculated based on the extent of the delay and the impact it has on the project timeline and resources.
- Final Deliverables:
- The final deliverables of the project will only be transferred to the client upon complete payment of all outstanding invoices.
- Roundabout Ltd reserves the right to withhold delivery of final deliverables until such payment is received in full.
- Revisions and Additional Work:
- Roundabout Ltd reserves the right to revise the terms of the agreement if the client requests additional work or services beyond the scope outlined in the initial agreement.
- Any additional work requested by the client shall be subject to negotiation and agreement on revised terms, including but not limited to pricing, timelines, and deliverables.
- Usage Rights:
- Roundabout Ltd retains the right to utilize the project work for marketing and promotional purposes without the need for client consent.
- The client acknowledges and agrees that Roundabout Ltd may showcase project work in portfolios, case studies, and other marketing materials for the purpose of demonstrating expertise and capabilities.
- Watermarks and Banners:
- All software projects developed by Roundabout Ltd may contain watermarks and banners, which the client is prohibited from removing without prior authorization from Roundabout Ltd.
- The client shall not tamper with, alter, or remove any watermarks or banners present on the software projects delivered by Roundabout Ltd without express written consent.
- Recording of Meetings:
- Roundabout Ltd reserves the right to record all client meetings for internal purposes, including but not limited to training, quality assurance, and dispute resolution.
- The client acknowledges and consents to the recording of meetings for the aforementioned purposes and understands that recordings may be retained by Roundabout Ltd as part of its business operations.
- Communication Boundaries:
- Clients are required to adhere to communication boundaries set by Roundabout Ltd.
- No client shall contact any team member of Roundabout Ltd outside of office hours (9 am to 6 pm) unless in cases of emergency or prearranged agreement.
- All communications during office hours must maintain a professional tone and manner.
- Any communication deemed unprofessional or rude may result in termination of services by Roundabout Ltd.
